Call to Order and Welcome

Mr. Martinez called the meeting to order at 15:00 UTC and welcomed attendees.

Review of the U.S. IRS 2021 Form 990 (Return of Organization Exempt from Income Tax) for the Internet Society and Internet Society Foundation

BDO National Director Marc Berger and BDO Tax Managing Director Bree-Ann Weidner joined the meeting and reviewed the draft Form 990, along with supporting Schedules for both the Internet Society and Internet Society Foundation, as provided to the committee in advance of the meeting. This was BDO’s first year preparing the returns for the organization.

Committee members engaged in discussion with Mr. Berger and Ms. Weidner about various aspects of Form 990s.

Following their presentation, Mr. Berger and Ms. Weidner left the meeting.

The Audit Committee voted to accept the Internet Society Form 990 and the Internet Society Foundation Form 990 as presented; both Form 990s were unanimously approved. The Form 990s will be distributed to the board for review before being filed with the IRS before the November 15, 2022, filing deadline.

Update on Audit and Tax Services

Ms. Park provided a brief update, including the timeline, of the fiscal year 2022 audit and tax services.

Update on Compliance

Ms. Levine noted that per the Audit Committee’s charter, the committee is responsible for both audit and compliance oversight. The committee will receive routine legal, compliance, and enterprise risk updates.
