Call to Order and Welcome

Ms. Wickramasekera called the meeting to order at 14:01 UTC and welcomed attendees.

On motion and second, the committee approved the minutes as presented from the joint Internet Society (ISOC) and ISOC Foundation meeting on 30 October 2024.

Review 2024 Consolidated Audited Financials and Audit Results

Ms. Gadre presented Internet Society’s (ISOC’s) Audit Consolidated Financial Statements, which include ISOC, Public Interest Registry (PIR), IETF Administration, LLC, and ISOC Foundation. In her presentation, Ms. Gadre reviewed the scope of the audit, the responsibilities of auditors and management, and the audit findings and results. No material weaknesses have been noted, and Ms. Gadre expects to issue an unmodified opinion, representing the highest level of assurance that the statements are free from material misstatement.

At 14:45 UTC, the committee convened in executive session with Ms. Gadre only (no staff present) to receive the auditor’s required communication to the board. Staff rejoined the meeting at 15:00 UTC.

Any Other Business

Ms. Levine provided an update on ISOC’s compliance program.

No other business was raised.

Adjournment

Ms. Wickramasekera adjourned the meeting at 15:03 UTC.
